TERMS OF USE

Last Updated: October 31, 2026

BINDING EFFECT

This is a binding agreement. By creating an account, accessing or using the Last mobile application (the “App”), or using any related service provided by Elysian Studios LLC (“Company,” “Last,” “us,” “our,” or “we”) in connection with the App (collectively, the “Service”), you agree to these Terms of Use (“Terms”), our Privacy Policy, and any additional terms or notices presented for a particular feature, purchase, promotion, verification process, or program.

We may amend these Terms from time to time. We will notify you of a change in the App or by another reasonable method before it takes effect, and the current Terms, with their "Last Updated" date, are always available in the App. A material change does not apply to you until that notice has been given and the stated effective date has passed and, where applicable law requires your affirmative assent, until you accept the updated Terms. After you have received notice of a change, your continued use of the Service after its effective date constitutes acceptance of the changed Terms to the extent permitted by law. If you do not agree to a change, stop using the Service; you may delete your account at any time. Nothing in this paragraph waives a right that cannot lawfully be waived.

ABOUT THE SERVICE

Last is a dating and relationship platform through which eligible members may create profiles, share photos and profile information, discover other members, send and receive likes, form matches, communicate, propose or confirm dates, participate in optional modes and programs, and use other dating, safety, support, subscription, or event features that Last makes available from time to time.

Features may be tested, changed, interrupted, limited, made unavailable in some locations, placed behind eligibility or subscription requirements, or discontinued. Some features described in these Terms may not be enabled in every market or release stage.

Last does not guarantee admission, continuous discovery access, visibility to any particular person, any particular profile position, a minimum number of profiles, likes, matches, messages, dates, relationships, or any other dating or social outcome.

OWNERSHIP OF THE APP

The App, the Service, and the infrastructure, software, designs, interfaces, non-user content, trademarks, and other materials used to provide them are proprietary to Last or its licensors. Subject to these Terms, Last grants you a limited, personal, nontransferable, nonexclusive, revocable license to use the Service for your own lawful, noncommercial use.

Except as expressly permitted by Last, you may not reproduce, distribute, publicly display, publicly perform, license, sell, resell, create derivative works from, scrape, reverse engineer, or commercially exploit the Service or Last-owned content.

ELIGIBILITY

You may use Last only if:

Last may require information or verification reasonably necessary to establish eligibility. Misrepresenting your age, identity, or eligibility is grounds for denial of admission, suspension, or removal.

USER ACCOUNTS, CREDENTIALS, AND PUBLIC IDENTITY

You may maintain only one ordinary personal Last account unless Last expressly authorizes otherwise. Your account is personal and nontransferable. You may not sell, rent, lend, share, transfer, or permit another person to operate it.

Ordinary login uses a private username and password. Your username is an account-security identifier and is not displayed to other members. Usernames must comply with the format and uniqueness requirements shown during registration. Username changes may be limited to once every three calendar months, and a former username may remain reserved against reassignment for three calendar months after a change.

You are responsible for maintaining the confidentiality of your password and for securing the devices and phone number associated with your account. Last may require SMS verification when you register, use a new or untrusted device, change sensitive account information, recover an account, trigger a risk-based reauthentication check, or when you enable an option requiring SMS verification on every login.

Your public display name is separate from your private username and may be a pseudonym. It does not need to be your legal name. It may not contain contact information, social-media handles, URLs, impersonation, or misleading identity claims. Your legal name and date of birth are used for verification and restricted account-security purposes and are not displayed to other members unless you independently choose to publish that information in a permitted public profile field.

You must promptly notify Last through the available security or support channel if you believe your account or credentials have been compromised.

Last may rely on actions taken through your authenticated account as authorized by you. You are responsible for activity under your account to the extent it results from your failure to protect your credentials or devices, or to report a compromise that you knew of or reasonably should have known of. To the extent permitted by law, Last is not liable for losses caused by unauthorized use of your credentials that Last did not cause. This paragraph does not limit Last's own obligation to secure the Service as described in the Privacy Policy and does not waive a right that cannot lawfully be waived.

ACCOUNT RECOVERY

Account recovery is a security-sensitive process. Every recovery requires a fresh successful Stripe Identity verification and a match to the recoverable account’s verified identity record. Recovery does not occur merely because someone knows or possesses a phone number, knows a username, or matches an internal identity signal.

Last may permit automated recovery when you can establish any two of the following three account factors: your private username, your current password, and possession of the registered phone number verified by SMS. A fresh identity verification is still required.

If you can establish only one or none of those account factors, Last may require a human recovery review in addition to fresh identity verification. That review may include an authorized visual comparison of a fresh provider-hosted recovery selfie against the verified profile-photo set already associated with the account. Recovery may be refused if Last cannot safely identify exactly one recoverable account or otherwise establish the required proof.

A successful recovery requires a new password and invalidates existing ordinary sessions and remembered-device trust. Recovery on a new device does not guarantee access to previously encrypted message plaintext because private message decryption depends on the required device-side encryption key or an available applicable key-backup feature.

An account in the 60-day recoverable deletion period may be restored through the applicable recovery process. A hard-deleted account cannot be recovered.

WAITLIST, ADMISSION, AND AVAILABILITY

Creating an account does not guarantee immediate active access to discovery. Last uses a waitlist and market-availability system to manage admission and re-entry. Your account may remain on the waitlist before first admission, may later return to the waitlist under a published category, or may voluntarily enter a waitlist pause.

While waitlisted, you cannot browse or act on the ordinary swipe deck, but you retain access to the account surfaces Last makes available for that state, including your own profile and settings, subscription management and cancellation controls where available, account deletion, applicable support, privacy and legal documents, and required safety or appeal surfaces.

An unresolved like you previously sent may remain live until its ordinary expiration. A reciprocal like received through an authorized surface may form or queue a match and restore a waitlisted account to active status under the same match-reinstatement rule for Premium and non-Premium users. A prior sent like does not give the waitlisted user special placement in the other person’s ordinary discovery deck.

Last may provide Breaking, a voluntary longer-term account pause through the waitlist. Depending on the option selected, re-entry may begin at the first available opportunity or no earlier than a user-selected date. A delayed Breaking period may be limited to six months. Entering Breaking ends every active match after the required pre-confirmation warning. When Breaking ends, the account may re-enter at the bottom of the waitlist under the rules shown in the App.

If Last offers an admission opportunity that requires identity verification, you may have a limited period shown in the App to complete the required profile, photo, and verification steps. Under the current admission model, the identity-verification opportunity is seven days. If it expires, you may return to the bottom of the waitlist without a conduct penalty, while saved profile and photo setup work may remain available.

PROFILE, PHOTO, IDENTITY, AND BIOMETRIC VERIFICATION

Your profile and photos must depict and describe you. Ordinary active membership requires the profile state shown in the App and two camera-only required profile photos. Last does not require a randomized pose or gesture challenge for those two photos and does not represent the photo-binding comparison as a liveness system.

Active membership also requires legal-identity verification. On the ordinary path, Stripe Identity verifies identity using a government-issued identity document and selfie or live capture. Last may retain the permitted verified identity fields and an encrypted verification-reference image under the separate biometric consent and retention schedule.

Last performs first-party 1:1 same-person comparison between the current encrypted verification reference and required or later profile-photo submissions before publication where the photo-verification flow applies. Face geometry, embeddings, landmarks, crops, or other transient comparison artifacts exist only for the in-flight comparison and are not retained as a reusable template. Last does not perform 1:N face search, cross-account face matching, attractiveness or emotion inference, demographic inference from face data, or a general face-identification search. When you report an intimate image as depicting you, an authorized reviewer may, with your agreement in the report flow, visually compare your verification reference with that image; this is a one-to-one human check, not automated face matching.

Last may reject, hold, or remove profile content that appears fake, manipulated, stolen, misleading, or inconsistent with your verified identity. Profile photos are also subject to Last-controlled image-content screening before publication. An automated content-screening rejection by itself is a non-punitive retake/replacement decision unless a separate human-confirmed conduct determination supports an enforcement consequence.

Biometric/face processing is not authorized merely by accepting these Terms. Before required biometric processing occurs, Last presents a separate affirmative consent or release and links to the Biometric Consent and Retention/Destruction Schedule. If you decline a verification process required for ordinary active membership, you cannot activate the member-facing dating Service. Support may assist with accessibility, retry, or processing errors but cannot waive a mandatory verification requirement.

The Privacy Policy and Biometric Consent and Retention/Destruction Schedule describe the information Last receives or stores, the processing purposes, retention, deletion, recovery use, and access restrictions in more detail.

Verification payments. During closed Beta, Last sponsors ordinary new-member identity verification; no user-paid new-member verification charge is collected. After Beta, when user-paid admission verification is enabled, Stripe processes a separately disclosed one-time verification charge at the start of the paid verification purchase/flow. That admission-verification charge is nonrefundable except where applicable law or mandatory payment reversals require otherwise. A retry is not automatically a new paid verification purchase; applicable attempt limits govern. Separately, a person who is not a Last member may be asked to pay for Stripe Identity verification during a subsequent human attribution review of a reported nonconsensual intimate image. Submission and statutory removal of an otherwise valid NCII report do not require payment or prior Stripe verification. Any applicable non-member attribution-verification charge is disclosed before payment.

DISCOVERY, LIKES, MATCHING, AND PROFILE ORDERING

Last uses server-side rules and automated systems to determine discovery eligibility, order profiles, manage access to local pools, detect abuse, and operate matching features. Internal scores, model weights, thresholds, queue positions, candidate lists, admission calculations, another member’s match status, and similar internal decision information are not member-facing features and are not disclosed merely because they influence a product result.

An unanswered sent like expires after 30 calendar days unless resolved earlier. Viewing or revealing a like does not extend that expiration period.

A mutual like does not always activate immediately. A match may remain pending until Last can activate it without violating account, availability, safety, one-active-match, Sleep/Away, or other applicable product rules. Engagement clocks begin when the match actually activates.

Premium does not bypass the ordinary one-active-match limitation, safety restrictions, account sanctions, or hard eligibility requirements.

MESSAGING, ACTIVITY RULES, AND DATE FEATURES

Last is designed for active participation. The App displays the authoritative activity deadlines and requirements that apply to a match, including always-visible countdowns where the applicable rule requires them. Current ordinary-match rules include:

For a cross-group ordinary match, the product’s applicable initiation-role assignment determines which participant owes the anchored opener. In a same-group ordinary match, either participant may initiate. The App identifies the action actually required from you; hidden role or scoring values are not exposed.

Once Last activates these deadlines platform-wide, each deadline runs whether or not you enable notifications and an individual push-delivery failure does not by itself extend or excuse the deadline. Valid Sleep/Away and server-imposed moderation suspensions follow the pause rules described in these Terms and shown in the App. Where suspension makes an action impossible, the affected user/product clocks pause, and surviving clocks resume only after the applicable reinstatement grace described below.

Messages may contain text, emoji, and approved Giphy-library GIFs. Local photo/video uploads, camera attachments, audio, arbitrary files, and other attachment types are not part of ordinary private messaging unless Last later expressly enables them. Giphy search, media delivery, and any report-evidence preservation needed for a Giphy message may be routed through Last’s applicable first-party proxy/provider path rather than directly from the client.

Seen messages may be undeletable. If Last permits deletion of an unseen message, the recipient may receive a tombstone or notice that a message was deleted.

Structured dates

Either participant in an ordinary eligible match may be able to propose a structured date with a specific meetup location and scheduled start time. A date becomes authoritative only through the server-recorded acceptance flow; a location or time typed only in a DM does not amend the authoritative date.

Accepting a scheduled date requires the date-location permission shown in the App. Date-purpose location processing is limited to the period from two hours before the scheduled start (T-2h) through 30 minutes after it (T+30m). During the interval from T through T+30m, both participants may independently confirm that they met. Bilateral confirmation by T+30m establishes attendance for both. If bilateral confirmation is absent, the Service may use authenticated date-purpose location evidence and the published proximity rule to attribute attendance or no-show status. Under the current rule, qualifying presence is within 100 meters of the authoritative meetup location.

A server-accepted cancellation at least two hours before the scheduled start releases both participants without the published late-cancellation/no-show consequence. A cancellation accepted less than two hours before the scheduled start may apply the published late-cancellation consequence to the cancelling participant while releasing the counterpart. A mutually accepted server-recorded location amendment replaces the authoritative venue.

Turbo proposal/verdict mode

If Turbo is enabled for the match, Turbo uses a proposal/verdict interaction instead of the ordinary opener/reply cadence and 30-message/day-14 floor. In a cross-group Turbo match, the participant assigned the product’s masculine-side initiation role sends the initial structured proposal responding to the feminine-side participant’s ideal-first-date prompt. In a same-group Turbo match, either participant may propose and the first valid proposal received by the server determines the verdict side.

The verdict choices are Yes, No, or Maybe. Yes locks the date and schedules the applicable reminders. No immediately ends the match without a participation, conduct, or reputation penalty for choosing No. Maybe opens ordinary DM access and permits the capped bilateral re-proposal flow displayed in the App. Turbo proposal/verdict silence may expire at the applicable outer day-14 deadline without an individual penalty. Turbo remains subject to the structured-date attendance/location rules above once a date is accepted.

PRIVACY AND BREAKING MODES

Last may provide multiple modes with different effects. They are not interchangeable.

Incognito is a discovery-visibility/privacy setting. Unless Last expressly says otherwise, it does not pause match activity deadlines, admission status, scheduled-date obligations, or message access.

Sleep/Away is a short-term planned-absence mode. It may temporarily prevent ordinary discovery and the Away user's access to DMs while preserving incoming encrypted messages. Authorized existing match counterparts may see only neutral Away status and an end time; Last does not disclose the reason for the absence, location, app-open state, private account standing, or internal admission information. Sleep/Away is subject to duration and rolling-use limits shown in the App and may be unavailable where it conflicts with an existing Turbo contract or confirmed date.

Breaking is Last's longer-term voluntary account pause. Entering Breaking ends every active match before the pause takes effect. The App presents that consequence before confirmation. Breaking removes the account from ordinary active dating use and later re-entry follows the waitlist/admission rules shown in the App. Breaking is different from Sleep/Away and does not by itself pause third-party subscription billing.

END-TO-END ENCRYPTED MESSAGING; METADATA; SCREENSHOTS

Private user-authored message content is end-to-end encrypted. Last does not receive ordinary private-message plaintext and does not hold the private device decryption keys needed to read it. Last can process non-content message and relationship metadata needed to operate the Service, such as participants, thread and match identifiers, timestamps, delivery/read state, counts, ciphertext length, response timing, and applicable activity state.

If you voluntarily submit conversation evidence with a report, the selected content is decrypted on your device and submitted to Last. Submitted report evidence is readable by authorized reviewers and is handled separately from ordinary encrypted messaging.

Screenshot protection depends on the operating system. On Android, Last may block screenshots and screen recording where supported. On iOS, where the operating system does not provide an equivalent blocking control, Last may detect a screenshot of a matched profile or chat and create a timestamped, server-readable, unencrypted system event visible to both participants. That system event is not user-authored message content and is not represented as end-to-end encrypted. Last may also tally certain discovery-screen capture events for abuse prevention. No software can prevent another person from photographing a screen with a separate device.

Private-message decryption keys are held on the user's device unless an optional encrypted key-backup feature is enabled. Uninstalling Last permanently loses locally recoverable message history when the needed device-held key is lost, unless an available encrypted key backup can restore the required key material. Logging out or account recovery on a different device does not itself recreate a lost device key.

POST-SEVERANCE ARCHIVE, REPORT WINDOW, AND THREAD RETENTION

When an existing match/thread ends for any reason covered by Last’s severance rules (including ordinary unmatch, report-related severance, block, account deletion or Reset, moderation-related system severance, or another applicable system teardown), Last may present both former participants with the same cause-neutral, locked, read-only archived conversation for 14 calendar days from the authoritative severance time, subject to the viewer’s own account-access state.

The archive does not permit new messages or active-match actions and does not disclose why the relationship ended. The former member may be represented by a non-unique archive alias rather than current profile information. During the applicable 14-day period, either former participant who still has an unused report right may use the report flow and select permitted message evidence.

If Last itself prevents a participant from reaching the report flow during an otherwise running filing window, the filing period may pause and resume for the remaining time. This may preserve only the minimum report-scoped evidence access required for that participant and does not reopen the ordinary archived conversation for general browsing.

The disappearance of the 14-day archive does not necessarily mean all encrypted ciphertext has been deleted. Subject to the Privacy Policy and the User Data Retention and Deletion Policy, encrypted thread history may persist after an ordinary unmatch and may reappear after a later lawful rematch if the relevant ciphertext still exists and both participants still have the necessary device keys. For an active block without a report, the applicable ciphertext-deletion rule uses 14 consecutive report-free days while the block remains active, subject to any still-live or paused filing right. Report-triggered, account-deletion, filing-right, legal-hold, and other retention events follow their separately disclosed deletion rules. Last does not guarantee that prior history will remain recoverable.

PARTICIPATION AND CONDUCT STANDING

Last maintains private server-side participation and conduct standing used to discourage patterns that undermine genuine participation and to support access-control consequences. The exact internal score, per-event weights, thresholds, and calculation mechanics are not disclosed and are not member-facing profile information.

Before the corresponding rules are enabled, Last publishes the behavior categories that can affect this standing. They may include repeated unanswered-message bursts; server-attributed missed opener or reply obligations; serial or pre-emptive actor-initiated unmatching; extended zero-intent pass/dislike patterns; received negative decisions combined with materially incomplete profile state; qualifying report-derived or block-derived outcomes; a human-confirmed bad-faith report; scheduled-date late cancellation or no-show; habitual deletion of messages before they are seen; and positive participation signals such as qualifying reply-rate performance or successfully completed first-date/Turbo outcomes. Safety exits, report severance, blocks, a penalty-free Turbo No, and other expressly excluded consent/safety actions do not become a serial-unmatch penalty merely because they end a relationship.

Ghosting/Inactivity is not a user-filed report category. Where the published product rules treat non-response as a conduct event, attribution comes from server-authoritative opener/reply obligation state rather than a peer accusation or inspection of private message plaintext.

A separate participation-standing access-lock ladder may apply when the applicable internal standing reaches its access-lock condition. The current finite episode durations progress through 2 weeks, 4 weeks, 16 weeks, 52 weeks, and 104 weeks; a sixth or later episode may result in a permanent ban. The offense count persists across finite episodes. This ladder is separate from the report-derived Track 1 and Track 2 moderation system below.

The product may also return an active unmatched account to the waitlist under published participation categories, including qualifying inactivity, zero-intent, or pool-exhaustion rules. User-facing receipts disclose truthful category-level reasons and the account owner’s permitted factual activity summary; they do not reveal hidden score mathematics, other users’ private actions, report identities, or admission-engine mechanics.

BLOCKING AND REPORTING

You may block a member from an available profile or relationship surface. While a block is active, the pair is mutually unavailable on live and interactive peer surfaces, except for the same limited 14-day cause-neutral read-only archive described above if an existing thread was severed. Removing a block restores only future organic eligibility where otherwise permitted; it does not restore the prior match or automatically reopen an expired archive.

A report may permanently sever the pair for future matching where the published report-severance rules apply. Report severance cannot be undone by unblocking.

Current ordinary user-filed report categories include Fake Profile, Scam/Advertising, Underaged Person, and Harassment/Abuse. Specialized reporting also includes Child sexual exploitation, Intimate image shared without consent, Copyright, and Nudity or sexual content. Ghosting or inactivity is handled through server-observed activity rules rather than as a user-filed report reason.

A report may include selected conversation evidence and limited surrounding context so evidence is not misleadingly cropped. A later report during the permitted filing period uses the same reporting and message-evidence selection process and is not labeled to the user as a “counter-report.” Last does not reveal reporter identity to the reported person. Where written case communications are required for an eligible specialized report, the reporter may select email or Telegram; sensitive evidence or identity material is not sent through Telegram.

A report is an allegation and does not by itself establish a punitive violation. Certain child-safety and intimate-image matters may temporarily hide content or place the account in a non-punitive review hold while a restricted review proceeds. If a human reviewer determines that a member knowingly filed a false intimate-image (NCII) or child-sexual-abuse-material (CSAM) report, the first such determination results in a 100-day suspension and a second results in a permanent ban; these sanctions are separate from the Track 1 and Track 2 counts. A report that cannot be verified, or one made honestly but mistakenly, is not a false report.

DATING SAFETY, VERIFICATION LIMITS, AND MEMBER INTERACTIONS

Last has zero tolerance for objectionable content and abusive users. The Service prohibits harassment, hate speech and unlawful discrimination, threats of violence, violent extremism, sexual exploitation, scams, stalking, coercion, and other abusive or unlawful conduct described in these Terms and the Community Guidelines. Zero tolerance describes Last's policy and how its enforcement systems are designed to operate; it is not a promise that every prohibited person or incident will be detected or prevented.

Last is for adults 18 and older. Child sexual abuse material, sexual exploitation of minors, grooming/enticement of minors for sexual activity, and related conduct are prohibited. Last reports apparent child sexual exploitation to the National Center for Missing & Exploited Children (NCMEC) as required by law and cooperates with lawful child-safety and law-enforcement processes.

Parental-control software and services may help parents and guardians limit minors' access to material that may be harmful to minors. Current parental-control provider information is available at https://consumer.ftc.gov/identity-theft-and-online-security/protecting-kids-online.

What verification does and does not establish. Identity verification and photo verification confirm only the specified identity and same-person signals described in these Terms and the Privacy Policy: that a government-issued document and the person presenting it matched at the time of verification, and that required profile photos depict that person. A "Verified" indication means that and nothing more. Last does not conduct criminal background checks or sex-offender-registry screening, does not investigate members' histories, and does not and cannot establish that any member is safe, truthful, law-abiding, compatible, single, or who they say they are beyond those checks. Members can misrepresent themselves in ways verification does not detect.

Your decisions. You alone decide whether, when, where, and how to communicate with or meet another member, what personal information to share, whether to move a conversation off the Service, and whether to continue any interaction. Meeting a person you met online carries foreseeable risks, including the risk of physical, sexual, emotional, or financial harm from a person whose intentions or history are unknown to you and to Last. You are responsible for evaluating those risks and taking reasonable precautions: meet in a public place, tell a trusted person where you are going and with whom, keep control of your own transportation, do not share your home address or financial information early, never send money or financial credentials to a member merely because you met through Last, and leave any situation that feels unsafe. Additional safer-dating measures are available on the Dating Safety Tips page.

Safety tools are tools, not guarantees. Verification, screening, blocking, reporting, moderation, enforcement, and other safety features are preventive and responsive measures that reduce but cannot eliminate the risk of harm. They depend on information Last has, including reports from members, and they operate under the published rules in these Terms. Last does not monitor private conversations, does not supervise in-person meetings, and has no duty to warn you about another member except where the law imposes one. Enforcement rules describe how Last's systems are designed to operate; they do not promise any member a particular outcome from a report about another member or that any particular person will be removed.

Last is not an emergency service. Reports and support channels are not monitored continuously and are not a substitute for police, emergency medical services, or protective services. If you believe there is an emergency or immediate threat, contact 911 or the appropriate emergency services rather than relying on Last.

Members are independent. Members are not Last's employees, agents, or representatives, and Last does not control, direct, authorize, or vouch for any member's conduct. Last-organized events, if offered, are governed by their own separately published terms.

You are solely responsible for your interactions with other members, on and off the Service. Report concerning conduct through the available in-App tools.

ENFORCEMENT, SUSPENSIONS, APPEALS, AND BANS

Last publishes user-facing enforcement categories but does not disclose anti-abuse thresholds, reporter counts, model weights, security logic, or information that would reveal another member’s private moderation state.

Last may issue warnings, restrict features, return an account to the waitlist, suspend access, terminate matches, deny admission, or impose a finite or permanent access sanction for violations of these Terms, the Community Guidelines, published safety rules, or applicable law, subject to the applicable product and review process.

For ordinary conduct classes in Last’s Track 1 system, a qualifying first threshold episode for that class while the account has no live confirmed Track 1 strike produces a category-level warning rather than an immediate suspension. The warning remains active for six calendar months from issuance, including time spent suspended. A fresh qualifying episode of the same class during that warning period can open strike 1. Once the shared Track 1 pool has a live confirmed strike, later qualifying Track 1 classes grade at the next pooled strike position rather than starting another clean-account warning rung.

The Track 1 ladder is strike 1 = 30-day suspension; strike 2 = 100-day suspension; strike 3 = permanent-ban track. A confirmed Track 1 strike remains live for one rolling year of unsuspended time measured from the strike’s suspension start. System-imposed suspension pauses that one-year strike-validity clock; voluntary modes do not.

Certain terminal-safety classes, including qualifying scam/advertising/fraud-account/bot and underage determinations, use a separate Track 2 process and do not consume Track 1 strikes. Track 2 begins with a 30-day investigatory suspension when the applicable threshold opens a case. A final underage sanction is ten calendar years, not permanent. A final qualifying scam/advertising/fraud-account/bot sanction is permanent.

Where an appeal is available, exactly one appeal may be filed for the case. Current filing periods are 14 days for strike 1 and 30 days for strike 2, strike 3, and Track 2. The review period is 30 days from appeal submission. If a required human review is not completed by that boundary, the appeal is accepted by default with the reversal/reinstatement effect required by the applicable rule. Default acceptance never applies to an appeal of a confirmed child-sexual-abuse-material (CSAM) permanent ban, which stays in force until a human reviewer decides the appeal. A timely Track 1 appeal does not extend an otherwise completed finite 30- or 100-day suspension. For Track 2, a timely unresolved appeal at day 30 keeps the account suspended until human adjudication or the 30-day-from-submission default-acceptance boundary. Appeal rights do not identify or disclose reporters.

A system-imposed suspension pauses user/product obligations that the suspended account cannot perform, including applicable match, reply, date, mode, and behavior clocks, while independent moderation, sanction, deletion, retention, and safety-evidence clocks continue as published. A scheduled date whose attendance window overlaps the suspension is automatically cancelled without a date-attendance/no-show consequence to either participant. On reinstatement, a 24-hour grace period runs before surviving paused user-action clocks resume from their preserved state.

While suspended, the account may remain authenticated but restricted to the permitted self-account, status, support, legal, appeal, and deletion surfaces. A terminal ban revokes ordinary sessions and trusted-device state, but the user may be permitted to reauthenticate only into a restricted ban/account-management surface. Reset Account is not available as a way to bypass a suspension or ban. Account deletion remains available, but deleting the account does not erase an otherwise valid sanction or anti-reentry record before its applicable lifetime ends and withdraws a pending moderation appeal as provided by the applicable rule.

Enforcement rules apply without changing thresholds or sanction durations based on sex, gender, sexual orientation, or Premium status.

MATCH HOLD DURING SHORT SUSPENSIONS

A moderation suspension can end an active match without revealing the moderation reason to the other member. The peer-facing presentation is neutral.

If the suspension lasts more than 30 consecutive days, the match is severed without a Match Hold reservation. If the suspension is 30 consecutive days or less, the non-suspended participant may be offered a choice to sever the relationship or affirmatively create a Match Hold. A Match Hold is not an active match, consumes no active-match slot, runs no ordinary match clocks, and does not prevent either person from using Last normally as otherwise permitted.

If the suspended member later returns while a Match Hold remains available, that member may accept or decline it. Acceptance may begin a three-calendar-month latent rematch window. During that window, Last may automatically reform the match only if both members are simultaneously free of an active match and every then-current hard eligibility, safety, block/report, account, geography, market, and other required predicate is satisfied. Either participant may revoke the Match Hold, and it expires under the rules shown in the App.

A Match Hold never reveals the reason for the prior system severance and never overrides a sanction, block, report-based permanent separation, or other hard safety rule.

RESET ACCOUNT

Reset Account is a product-state reset, not account deletion and not a privacy erasure request.

A reset may clear or restart public profile fields, photos, discovery preferences, onboarding state, active match instances, and current admission/discovery state, and may return the account to onboarding or the waitlist. It may require processing time while associated photos and access are removed.

A reset may preserve the authentication account, verified identity and anti-duplication signals, subscription entitlements, active sanctions, blocks, reports and moderation evidence, legal/audit records, historical interactions, and encrypted conversation history subject to the applicable retention rules. Reset deletes your verification-reference image and photo-verification state, and you must complete photo verification again before your profile photos are shown. Reset does not substitute for the account-deletion process or provider-deletion requests.

Reset may be unavailable while an ordinary account is suspended or banned.

ACCOUNT DELETION

Deleting the App or logging out does not delete your account.

For an ordinary in-App Delete Account request, Last first requires one exit reason:

"Don't like the app" and "Other" require a non-empty free-text explanation. Selecting "Taking a break from the app" offers Breaking instead and warns that entering Breaking ends every active match. The user may choose Breaking or continue directly with deletion. The required exit answer does not change eligibility to delete, sanctions, or deletion timing.

The ordinary exit survey does not apply to a statutory Privacy Rights Center deletion request, a legally compelled deletion, or a confirmed-minor deletion.

For an ordinary account, submission of the deletion request begins a 60-day recoverable deletion period unless a different process is required by law:

  1. Day 0: the profile is removed from ordinary member-facing surfaces, active matches are severed, ordinary authenticated sessions are terminated, push tokens are revoked, and Google Play subscription renewal cancellation is initiated when an active Google Play subscription is linked to the account. If the request occurs during an applicable statutory Premium cancellation window, the applicable rescission/refund process is also initiated. The standard 14-day cause-neutral post-severance archive may remain available to former counterparts as described above.
  2. Days 0-60: the account is unavailable for ordinary use but may be recoverable through the approved recovery process. Recovery does not automatically restore prior matches.
  3. After the recovery period: the production account is hard-deleted and cannot be restored.

Standard hard deletion removes direct account identity and production-profile linkage, including the ordinary account, direct identifiers, profile photos, precise location, production verification references, device/push identifiers, account encryption material held by Last, and ordinary production relationship surfaces, subject to legally required records and narrowly limited safety or filing-right exceptions.

Standard hard deletion does not necessarily erase all identity-severed analytics or research information. As described in the Privacy Policy, User Data Retention and Deletion Policy, and Analytics and Matching-Model Notice, approved research categories may remain under an independently random research identifier after destruction of the production-to-research mapping. A submitted structured exit reason may survive as a Delete-event/outcome label. Raw exit-survey free text is deleted at hard deletion; only a scrubbed/redacted or derived representation may survive under the restricted research rules.

If the exit reason is "Sticking with the person I matched with in Last," Last may associate that relationship-outcome label with the applicable match record for restricted outcome analysis, which means the same pair-level outcome can be reflected in records associated with the other member in that match. This does not disclose your free-text explanation to the other member.

Restricted anti-evasion records may survive deletion only for their independent sanction or abuse-control lifetime. These records do not restore or reconnect a hard-deleted account to retained research data.

Deleting your Last account initiates cancellation of renewal for a linked Google Play Premium subscription. Uninstalling the App does not cancel a subscription. Google Play controls completion of the store-side billing action, and Last records the resulting status.

PREMIUM, SUBSCRIPTIONS, PROMOTIONS, AND PURCHASES

Paid and promotional Premium features are governed by these Terms, the purchase screen, the applicable Google Play or App Store terms, and the separate Premium Subscription and Promotional Premium Terms displayed for the purchase.

The U.S. monthly Premium price is $19.99 plus applicable sales tax on Google Play and $23.99 plus applicable tax on the App Store; each store's purchase screen shows that store's own price. The closed Beta has no in-app purchases; Premium can be purchased only after paid launch. Premium is not offered for purchase in the iPhone App until Last enables it, and until then Premium purchased on Google Play is not available in the iPhone App.

Premium may include benefits such as Premium support, relative profile-ordering priority after applicable eligibility and safety rules, a received-likes reveal queue, Travel Mode when available, ad-free use while Premium is active, optional encrypted-key-backup functionality if offered, and other benefits expressly identified before purchase.

Premium does not guarantee admission, continuous ordinary-deck access, a match, or any other dating outcome. Premium does not bypass safety rules, market eligibility, one-active-match rules, sanctions, verification, or hard admission requirements.

At paid launch, Premium may be purchased or renewed while an account is waitlisted. Premium may provide priority within the Premium portion of an otherwise eligible waitlist cohort, but it does not change the underlying market-viability gates, create a slot, increase the number of available slots, move an account across an eligibility cohort, or guarantee admission. If Premium lapses while waitlisted, the account may return to the non-Premium queue using its original queue timestamp.

Where Premium includes the received-likes reveal feature, the first eligible unresolved liker is revealed immediately and no more than one additional eligible liker is revealed per rolling 24 hours. An unanswered like still expires 30 calendar days after it was sent, whether or not it has been revealed.

For an initial paid Premium purchase, Premium benefits begin 4 business days after purchase, excluding Sundays and California holidays. The paid entitlement window shifts so the purchaser receives the full purchased entitlement duration after activation. Renewals do not use that delayed start.

Premium renews automatically unless the purchase screen expressly identifies the plan as nonrenewing. Before purchase, Last provides the price, billing period, automatic-renewal terms, cancellation methods, material access limitations, the statutory dating-service cancellation notice, and separate affirmative renewal consent. The purchase flow also collects an email address for delivery of the contract copy.

For online Premium, the operational cancellation channels are the authenticated in-App/account-web cancellation controls and email to [email protected]. The Premium contract reproduces the required California statutory cancellation statement verbatim. Last does not operationalize mailed or hand-delivered paper cancellation for the online service; if nonwaivable law nevertheless treats a notice as effective when deposited in the mail or by postmark, that law controls. A qualifying timely email or authenticated online cancellation triggers the applicable Google Play refund/revocation process. Ordinary end-of-term cancellation stops future renewal and ordinarily leaves already-active Premium through the paid entitlement period unless applicable law or platform policy requires different treatment.

The current new-account promotion is one month of Premium free, beginning only when the account first reaches active/admitted status rather than at registration or while waitlisted. Once activated, later waitlist time does not pause or extend that promotional month. A promotional or Beta entitlement does not convert into a paid subscription unless the user separately completes a paid purchase and accepts the applicable renewal terms.

Separately purchased Likes or other consumables, if offered, are subject to separate delivery, consumption, refund, restoration, and deletion terms disclosed before purchase.

SUPPORT

Last may provide different general support channels by subscription tier. Under the current support model, non-Premium members receive general AI-assisted support and Premium members receive general human/non-AI support. A workflow that expressly requires human adjudication, moderation, appeal, identity exception, accessibility review, or recovery review may be escalated to a human regardless of subscription tier. This does not create a general human-support entitlement for a non-Premium account.

Email sent to [email protected] may be classified and answered through an automated AI-assisted support system. Every automated reply identifies itself as automated. Email is not treated as authenticated account control: automated replies do not disclose account-specific personal information or make account changes, and account-specific actions are redirected to the authenticated App or website. Attachments are not sent to the AI model. Safety, child-protection, law-enforcement, legal-process, and similar escalation triggers are routed to human review. An active Premium purchaser whose DMARC-aligned sender address matches the contract-copy email is routed to the Premium human-support queue.

DATING REALITY EDUCATIONAL CONTENT

Last may provide a “Dating Reality” education surface containing product-rule explanations, sourced statistics, and audience-relevant guidance. External statistics are cited to their sources, and consequences are described only for product rules that are in effect and published. This educational material does not create different conduct obligations for demographic groups unless a separately published product rule expressly does so, and it is not a guarantee of dating outcomes or individualized professional advice.

USER CONDUCT

You agree not to use the Service to:

Last may investigate complaints, suspected abuse, security incidents, infringement, or unauthorized use. Any account access by Last personnel or contractors is subject to the Privacy Policy, internal authorization, and applicable law.

USER CONTENT AND LICENSE

“User Content” means profile text, photos, prompts, feedback, report submissions, and other content you choose to submit to Last, excluding ordinary end-to-end encrypted private-message plaintext that Last does not receive.

You retain ownership of your User Content. You grant Last a non-exclusive, worldwide, royalty-free license to host, store, secure, process, display, transmit, moderate, and create permitted technical or analytical representations of User Content as reasonably necessary to operate, protect, evaluate, and improve the Service, subject to the Privacy Policy and your visibility settings.

This license does not authorize Last to read ordinary end-to-end encrypted private-message content or train on plaintext that Last does not possess. Report evidence voluntarily revealed by a participant is handled separately for safety and moderation.

You represent that you have the rights necessary to submit your User Content and that it does not violate law, privacy, publicity, copyright, trademark, or other third-party rights.

FEEDBACK

If you voluntarily provide suggestions, comments, survey responses, bug reports, feature ideas, designs, or other product feedback (“Feedback”), you grant Last a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, modify, analyze, combine, publish in non-identifying form, commercialize, and otherwise use the Feedback for lawful product and business purposes without payment or attribution.

Personal information contained in Feedback remains subject to the Privacy Policy. Do not submit another person’s confidential information without authorization.

USER PRIVACY

Last’s Privacy Policy explains how Last collects, uses, discloses, retains, and deletes personal information and is incorporated into these Terms by reference. The current Privacy Policy is available at https://lastdating.app/privacy.html.

Additional notices may apply to biometric verification, website waitlist or Beta applications, analytics or matching-model processing, retention and deletion, and particular purchases or promotions.

COPYRIGHT AND TRADEMARK

When using the Service, you agree to respect intellectual-property rights. You may not upload, download, display, perform, transmit, distribute, or otherwise use content in violation of another person’s copyright, trademark, trade secret, right of publicity, or other proprietary right.

You are solely responsible for violations caused by content you submit or transmit through your account.

INFRINGEMENT REPORTING PROCEDURES

If you own copyright, trademark, patent, or other intellectual-property rights, or are authorized to act for an owner, and believe material on the Service infringes those rights, you may submit a complaint to Last at [email protected] or through the public copyright page at https://lastdating.app/report-copyright.html. Last may request the information reasonably necessary to evaluate and process the complaint.

Last has adopted, and enforces, the repeat-infringer policy in its Copyright / DMCA and Repeat-Infringer Policy and may remove or disable access to material where appropriate.

ELECTRONIC COMMUNICATIONS

When you use the Service, you consent to receive electronic communications relating to your account and use of the Service, including in-App notices, push notifications, email where collected, and SMS for verification, security, recovery, moderation, or account purposes. Message and data rates may apply.

Consent to receive transactional or security communications does not by itself constitute consent to receive marketing messages where separate consent is required by law.

Electronic agreements, notices, disclosures, and other communications satisfy any legal requirement that the communication be in writing to the extent permitted by law.

Except where applicable law, platform policy, or a specific agreement or notice prescribes a different delivery method, acknowledgment, or effective date, a notice from Last is effective when posted in the App or sent to the contact method associated with your account. You are responsible for reviewing notices made available through your account.

THIRD-PARTY SERVICES AND LINKS

The Service may rely on or link to Google Play, Stripe Identity, cloud and communications providers, email providers, Telegram for selected case-status communications, Anthropic for specifically disclosed text-processing workflows, diagnostics providers, an advertising SDK/provider where advertising is enabled, and other third-party services. Giphy's provider terms and privacy practices may also apply to Giphy media in messages.

Third parties may have their own terms and privacy practices. Last does not control third-party sites or services and, to the extent permitted by law, is not responsible for their independent content, availability, or practices. Mandatory Google Play terms govern downloads, payment authorization, taxes, billing dates, subscription management, and refunds that Google administers.

Advertisements shown on eligible free-tier surfaces are third-party content. Last does not control and, to the extent permitted by law, is not responsible for the content of third-party advertisements or the sites they link to. This does not limit Last's own obligations regarding advertising described in the Privacy Policy.

DISCLAIMER OF WARRANTY

THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU EXPRESSLY AGREE THAT USE OF THE APP AND SERVICE IS AT YOUR SOLE RISK. NONE OF THE COMPANY, ITS SUBSIDIARIES OR AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT USE OF THE APP OR SERVICE WILL BE UNINTERRUPTED, SECURE, VIRUS-FREE OR ERROR-FREE, OR THAT ANY MEMBER IS SAFE, TRUTHFUL, COMPATIBLE, OR FREE OF A CRIMINAL HISTORY.

THE APP, SERVICE, CONTENT, USER CONTENT, PRODUCTS, AND OTHER AVAILABLE PROGRAMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT ALLOWED BY APPLICABLE LAW, THE COMPANY DISCLAIMS REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING TITLE, NON-INFRINGEMENT, NON-INTERFERENCE, MERCHANTABILITY, SUITABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY MAKES NO WARRANTY AS TO THE RESULTS OBTAINED FROM THE SERVICE OR AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING USER CONTENT.

LAST MAKES NO GUARANTEE AS TO THE NUMBER OF ACTIVE USERS; ADMISSION OR WAITLIST TIMING; CONTINUOUS DISCOVERY ACCESS; THE NUMBER OR AVAILABILITY OF COMPATIBLE PROFILES; ANOTHER USER’S DESIRE TO COMMUNICATE WITH OR MEET YOU; OR ANY ULTIMATE DATING, COMPATIBILITY, SAFETY, OR RELATIONSHIP OUTCOME.

LIMITATION OF LIABILITY

THE COMPANY’S LIABILITY TO YOU IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL THE COMPANY, ITS SUBSIDIARIES OR AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, LOST-PROFIT, LOST-BUSINESS, LOST-DATA, LOST-OPPORTUNITY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE; USER CONTENT; INTERACTIONS WITH OTHER MEMBERS; MODIFICATION OR REMOVAL OF CONTENT; OR IMPROPER USE OF INFORMATION YOU PROVIDE TO THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY, ITS SUBSIDIARIES AND AFFILIATES, AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS AND LICENSORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE (INCLUDING AMOUNTS PAID FOR LAST'S SERVICE THROUGH GOOGLE PLAY, THE APPLE APP STORE, OR ANOTHER PAYMENT PROCESSOR) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIFTY U.S. DOLLARS (US$50). THIS LIMIT APPLIES TO ORDINARY ECONOMIC AND CONTRACTUAL CLAIMS. IT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY THE COMPANY'S GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT; STATUTORY DAMAGES OR PENALTIES THAT A STATUTE DOES NOT PERMIT TO BE LIMITED; OR OTHER NONWAIVABLE CONSUMER REMEDIES. IF THIS LIMIT IS HELD UNENFORCEABLE AS TO A PARTICULAR CLAIM, IT CONTINUES TO APPLY TO EVERY OTHER CLAIM, AND THE OTHER LIMITATIONS AND EXCLUSIONS IN THIS SECTION REMAIN IN EFFECT.

TO THE EXTENT A CONTRACTUAL CLAIM-LIMITATION PERIOD IS ENFORCEABLE, ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE FOREGOING MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR IT IS BARRED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO ALL OR PART OF THIS SECTION MAY NOT APPLY TO YOU.

RELEASE

You are solely responsible for your interactions with users of the Service. To the extent permitted by applicable law, you release the Company from claims or liability related to the independent action or inaction of another user, including harm caused by another user’s conduct, speech, User Content, or failure to comply with law, whether online or offline.

To the fullest extent permitted by law, you also release the Company from claims that the Company was negligent (meaning ordinary negligence) in screening, verifying, admitting, recommending, ordering, or matching members; in moderating content or conduct; in warning you about another member; in the timing, handling, or outcome of a report, block, or enforcement action; in operating, maintaining, or failing to detect misuse of verification, screening, blocking, reporting, or other safety features; or in relying on information another member supplied, in each case with respect to harm caused by another member or other person, online or offline, including at a meeting, date, or encounter initiated through the Service. This release does not apply to claims based on the Company's gross negligence, fraud, willful misconduct, or violation of law, and does not release any right that cannot lawfully be released. Last-organized events, if offered, are governed by their own terms.

If you are a California resident, to the extent legally effective and applicable to this release, you expressly waive California Civil Code Section 1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

INDEMNITY

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company, its subsidiaries and affiliates, and their respective directors, officers, employees, and agents from claims, liabilities, losses, damages, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) User Content submitted by you; (b) your misuse of the Service; (c) fraud, intentional misconduct, or gross negligence by you; (d) your violation of these Terms, applicable law, or another person’s rights; or (e) your own conduct toward another member or other person, on or off the Service, including at any meeting, date, or encounter initiated through the Service.

DISPUTE RESOLUTION; BINDING INDIVIDUAL ARBITRATION; CLASS-ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. EXCEPT AS STATED BELOW, YOU AND LAST AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT BEFORE A JUDGE OR JURY, AND TO GIVE UP THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF THIS SECTION WITHIN 30 DAYS (SEE PART 6).

1. What this section covers. "Dispute" means any claim or controversy between you and Last (including Elysian Studios LLC's affiliates, officers, employees, agents, and service providers, each of which may enforce this section) arising out of or relating to the Service, these Terms or the documents they incorporate, your account, verification, admission or waitlist decisions, subscriptions or payments, privacy, advertising, safety or moderation decisions, your interactions with other members through or arising from the Service (including communications moved off the Service and any meeting, date, or encounter arranged through it), or any other aspect of your relationship with Last, whether based on contract, tort, statute, fraud, misrepresentation, negligence, or any other legal theory, and whether the claim arose before or after you accepted these Terms. This section does not cover: (a) a claim brought in small claims court under Part 4; (b) a case you elect to bring in court under Part 5; (c) a request for public injunctive relief under Part 7; (d) a request to a court for emergency or provisional relief or a protective order; or (e) criminal matters. Nothing in this section restricts you from reporting conduct to law enforcement, a regulator, or the National Center for Missing & Exploited Children, or from participating in a government investigation. Disputes between you and another member are not governed by this section.

2. Informal resolution first. Before starting an arbitration, the party raising the Dispute must send the other a written notice ("Dispute Notice") describing the Dispute and the relief sought. A Dispute Notice is not required before a small claims case under Part 4, although we encourage you to contact us first so we can try to resolve the matter. Send your Dispute Notice to Elysian Studios LLC, 30 N Gould St Ste R, Sheridan, WY 82801, United States, or to [email protected], including your name, the phone number or other identifier associated with your account, a description of the Dispute and the relief you seek, and your signature (typed is acceptable); a Dispute Notice sent by a lawyer on your behalf must also be signed by you. Last sends its Dispute Notice to the contact method associated with your account. For 60 days after a complete Dispute Notice is received, you and Last will try in good faith to resolve the Dispute informally, including through a telephone or video conference if either party requests one. Any applicable statute of limitations is tolled during this period. If the Dispute is not resolved within 60 days, either party may proceed under Part 3 or Part 4. A Dispute Notice is required for each Dispute, and a notice that does not identify the member personally does not start the 60-day period.

3. Binding individual arbitration. Subject to Parts 1, 4, 5, and 7, any Dispute not resolved informally will be resolved by binding arbitration before a single neutral arbitrator, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and Consumer Due Process Protocol in effect when the arbitration is filed (available at adr.org), and this agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. §1 et seq. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this section, including any claim that all or part of it is void or voidable, except that a court decides (i) any dispute about the class-action waiver and the public-injunctive-relief carve-out in Part 7, and (ii) whether the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act applies to a Dispute and, for a Dispute to which it applies, the validity and enforceability of this section (9 U.S.C. §402(b)). The arbitrator must follow applicable law and may award to you individually every remedy that a court could award, including statutory damages and attorneys' fees where the law provides them. If the AAA is unavailable or declines to administer the arbitration, you and Last will agree on another nationally recognized consumer arbitration administrator (such as JAMS or National Arbitration and Mediation); if you cannot agree, either party may ask a court of competent jurisdiction to appoint an arbitrator under 9 U.S.C. §5. If, after these steps, a Dispute cannot lawfully or practically be arbitrated under this section, that Dispute will be resolved in court under the GOVERNING LAW section, and Part 7 continues to apply to the extent the law allows.

Hearings take place by video conference or on written submissions unless the arbitrator decides an in-person hearing is necessary, in which case it takes place in the county where you reside or in San Diego County, California, as the AAA rules provide, or at another location you and Last agree on. Discovery, including depositions, is available as the AAA rules and applicable California law provide, with the arbitrator's leave where required. Either party may be represented by a lawyer. The arbitrator issues a written decision stating the essential findings and conclusions, and judgment on the award may be entered in any court of competent jurisdiction.

Fees. You pay the consumer filing fee under the AAA Consumer Arbitration Rules, and Last pays all other AAA administrative fees and the arbitrator's compensation, except that the arbitrator may reallocate fees as the AAA rules allow if the arbitrator finds that a claim or defense was frivolous or brought for an improper purpose. Each party bears its own attorneys' fees and costs except where applicable law, these Terms, or an award under the AAA rules provides otherwise; Last will not seek its attorneys' fees from you in arbitration unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. Last will pay AAA invoices within the time applicable law requires.

4. Small claims court. Either you or Last may bring an individual claim in small claims court in the county where you reside or in San Diego County, California, instead of arbitration, if the claim qualifies for that court, and either party may elect small claims court at any time before an arbitrator is appointed.

5. Sexual assault and sexual harassment cases. If you allege a sexual assault dispute or a sexual harassment dispute, as those terms are defined in the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. §§401-402), you may elect to bring the case (including every claim in it) in court rather than in arbitration, and the class-action waiver in Part 7 does not apply to that case. Nothing in these Terms limits that election.

6. Your 30-day right to opt out. You may opt out of this arbitration agreement and the class-action waiver by notifying Last within 30 days after you first accept these Terms. Use the opt-out control in the App's Legal settings where available, or send an email to [email protected] with the subject "Arbitration opt-out" from an email address you can be reached at, or a signed letter to the postal address in Part 2, stating your name and the phone number or other identifier associated with your account. Opting out is free, does not affect any other part of these Terms or your membership, and Last will confirm receipt. You may opt out by email or letter even after you delete your account, as long as Last receives your opt-out within the 30 days; in that case include your full legal name as it appeared on your verified identity document and your date of birth so Last can locate your record, and your opt-out counts from the day Last receives it even if that confirmation comes later. If you opt out, Disputes will be resolved in court under the GOVERNING LAW section. An opt-out applies only to the person who sends it.

7. Class-action and representative-action waiver; public injunctive relief. You and Last each agree to bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding, except that the AAA may apply its own rules for administering multiple related cases filed by or against the same party, and the arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party's individual claim. If a court finds this waiver unenforceable as to a particular claim or request for relief, that claim or request (and only that claim or request) is severed and decided by a court, and every other claim is arbitrated. Where California law entitles you to seek public injunctive relief, a request for public injunctive relief will be decided by a court, not an arbitrator; the court decides whether that request proceeds alongside, or is stayed pending, the arbitration of the arbitrable claims; and nothing in this section waives it.

8. Jury-trial waiver. Because arbitration replaces court, by agreeing to arbitrate you and Last each give up the right to a trial by jury for Disputes that are arbitrated. This waiver applies only to Disputes resolved under this section.

9. No confidentiality obligation. This section does not require you to keep a Dispute, its facts, or its outcome confidential, and nothing in these Terms prevents you from speaking with law enforcement, a regulator, a lawyer, a support organization, or anyone else about your experience. Last may keep its own filings confidential as the AAA rules allow.

10. Changes to this section; survival. Last will not change this section for an existing member without notice in the App and at least 30 days to opt out of the change or, where the law requires, to accept it; a change does not apply to a Dispute Notice already sent. This section survives the termination or deletion of your account and the termination of these Terms.

11. Severability. If any part of this section other than Part 7 is found unenforceable, that part is severed and the rest of this section is enforced; Part 7 is governed by its own terms.

GOVERNING LAW

These Terms and any Dispute are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the agreement to arbitrate in the DISPUTE RESOLUTION section, and except to the extent another jurisdiction's law applies and cannot lawfully be waived.

For any matter that is not resolved by arbitration (including a small claims case, a case you elect to bring in court under Part 5 of the DISPUTE RESOLUTION section, a request for public injunctive relief, any Dispute if you have opted out, any Dispute that cannot be arbitrated under Part 3, and any court proceeding to compel arbitration or to confirm, vacate, or enforce an arbitration award), you and Last consent to the jurisdiction of the state and federal courts located in San Diego County, California, except where applicable law gives you a nonwaivable right to bring a proceeding elsewhere, including the small claims court of the county where you reside.

SEVERABILITY; WAIVER

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

A waiver by Last of one breach is not a waiver of any other or later breach. No waiver is effective unless made in writing by an authorized representative of Last.

CALIFORNIA-ONLY ADMISSION

The Service is controlled and operated by Last from the United States. Last makes no representation that the Service is appropriate or lawful in every jurisdiction. You are responsible for complying with applicable local law.

Dating-app admission is initially limited to California. Last may enable additional jurisdictions only when their applicable eligibility, verification, safety, and legal requirements are satisfied. Availability may be restricted by state, market, jurisdiction, verification, safety, or other launch controls.

ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without Last’s prior written consent. Last may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.

MODIFICATION OF THE SERVICE

Last may modify or discontinue features prospectively. Where a change materially affects an active paid subscription, privacy practice, or other legally protected right, Last will provide the notice, cancellation opportunity, consent, credit, refund, or other remedy required by applicable law or platform policy.

ENTIRE AGREEMENT

These Terms, the Privacy Policy, Community Guidelines, applicable Biometric Consent and Biometric Retention and Destruction Schedule, User Data Retention and Deletion Policy, Premium Subscription Terms, purchase disclosures, and any additional feature- or program-specific terms you accept constitute the agreement between you and Last concerning the matters they cover.

If a feature-specific or purchase-specific term conflicts with these Terms, the more specific term controls only for the subject it expressly governs.

On the matters they cover, these documents supersede prior or contemporaneous communications and proposals between you and Last. They do not supersede a separate agreement you accept with Last (such as a Beta Participation Agreement, a biometric consent, or purchase-specific terms), which remains in effect according to its own terms, or any right that cannot lawfully be superseded. Section headings are for convenience only and have no legal effect.

Provisions that by their nature should survive the termination of your account or of these Terms survive, including the disclaimers, limitations of liability, release, indemnity, intellectual-property, governing-law and dispute provisions. Survival does not extend the retention of personal information beyond what the Privacy Policy and the User Data Retention and Deletion Policy allow.

ACKNOWLEDGEMENT

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS OF USE (INCLUDING THE DISPUTE RESOLUTION SECTION, WHICH CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER WITH A 30-DAY RIGHT TO OPT OUT) AND THE POLICIES AND NOTICES INCORPORATED BY REFERENCE.
